These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Atlantic Brand Studio LLC ("Company," "we," "us," or "our"), a Puerto Rico Limited Liability Company. By engaging our services, submitting payment, or accessing our website at atlanticbrandstudio.com, you agree to be bound by these Terms in their entirety.

Atlantic Brand Studio LLC provides professional branding and graphic design services, including but not limited to logo design, brand identity development, social media visual systems, brand guidelines, presentation design, and marketing collateral. The specific deliverables, timeline, and pricing for each engagement are defined in the project proposal and/or signed service agreement provided prior to the commencement of work.

All projects begin with a written proposal outlining the scope of work, deliverables, timeline, revision rounds, and total cost. Work will not commence until the Client has approved the proposal and submitted the required deposit payment. Verbal agreements, email confirmations, or social media communications do not constitute a binding agreement unless confirmed in a signed or countersigned proposal or contract.

Each package includes a defined number of revision rounds as outlined in the project proposal. A revision round consists of a consolidated set of feedback submitted in a single communication. Additional revisions beyond the included rounds are available at an hourly rate of $85/hour or a flat rate as mutually agreed in writing. Revisions do not include changes to the original project scope or the addition of new deliverables.

The Client agrees to:

Estimated timelines are provided in good faith and are contingent upon timely Client feedback and material delivery. The Company is not liable for delays caused by the Client's failure to respond, provide materials, or approve deliverables within the agreed timeframe. Prolonged inactivity exceeding thirty (30) calendar days may result in project cancellation and forfeiture of the deposit.

Upon receipt of full payment, the Client receives full ownership rights to all final approved deliverables created specifically for the Client's project. The Company retains the right to display completed work in its portfolio, on its website, and across its marketing channels unless the Client requests confidentiality in writing prior to project commencement. The Company retains ownership of all preliminary concepts, drafts, and design work not selected or approved by the Client.

If the project requires licensed fonts, stock images, icons, or other third-party assets, the Client is responsible for obtaining and paying for the appropriate licenses unless otherwise agreed in writing. The Company may recommend specific resources and, where applicable, obtain assets on the Client's behalf with associated costs invoiced separately.

To the fullest extent permitted by applicable law, Atlantic Brand Studio LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services provided, including loss of revenue, loss of business, or loss of data. The Company's total liability to the Client for any claim arising under these Terms shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

The Client agrees to indemnify, defend, and hold harmless Atlantic Brand Studio LLC, its members, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Client's use of delivered materials; (b) any content or materials provided by the Client that infringe upon third-party rights; or (c) the Client's breach of these Terms.

Both parties agree to treat all non-public business information shared during the engagement as confidential and to not disclose such information to third parties without prior written consent, except as required by law or necessary to perform the services. This obligation survives termination of the agreement.

In the event of a dispute arising from or related to these Terms or the services provided, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in Puerto Rico. The prevailing party may be entitled to recover reasonable attorneys' fees.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and applicable federal laws of the United States, without regard to conflict of law principles.

These Terms, together with any signed project proposal or service agreement, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior negotiations, representations, or agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

The Company reserves the right to update these Terms of Service at any time. Updated Terms will be posted on the website with a revised effective date. Continued engagement of our services following any update constitutes acceptance of the revised Terms.
